Legal Manager

Roles & Responsibilities
1.Drafting, Reviewing and providing legal advice on commercial leases and related documentations with extensive knowledge of the local laws on tenancy and leasing.
2.Review ongoing cases and advice management accordingly.
3.Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
4.Provide legal protection and risk management advice to management especially on contract management.
5.Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff.
6.Manage the Trademark portfolio and liaise with external counsels on Trademark search, registration and assignment and related contentious matter. Strong knowledge of all the licensing issuing authorities and their processes including but not limited to DIFC and ADGM for Company formation, renewal and liquidation and share transfer and management of the entities. Review and drafting of constitutional documents such as Memorandum of Association, Articles of Association, their amendments and Power of Attorney, Trust Deeds and Share Pledge Agreements, Shareholders Agreement, their amendments, Policy development
7.Review and advise management on legal implications of internal policies and procedures.
8.Review and draft contracts, agreements including such as vendor agreements, franchise agreements, distribution agreements, and internal and website policies and terms and conditions and ensure that they are in compliance with all statutory or legal requirements.
9.Litigation management-Review progress of ongoing litigation and liaise with and manage external lawyers.
10.Liaise and advise external lawyers regarding company requirements and litigation requirements.
11.Participate in pre-litigation negotiations with the management in connection with any defaulting parties.
12.Regulatory compliance-Formulate compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly including but not limited to UBO and Data Protection compliance in the UAE and/or GCC.
13.Continuously monitor compliance with statutory obligations and advise management accordingly.
14.Contract negotiation-Review all contracts or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management’s attention.
15.Prepare, review and modify contractual instruments to assist and support various business activities.
16.Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time.

Knowledge, Skills & Competencies Required
1.Minimum 7-8 years of relevant PQE ( min of 4 years of UAE and/or GCC experience). Legal Professional / Lawyer registered with home country bar council. rational individual who understands and manages legal risks and consequences together with business process and regulatory requirements with demonstrable experience in corporate legal affairs and hands-on experience in Leasing, Contract Law and Corporate Governance in the UAE and GCC.
